1. Agreement to These Terms

These Terms and Conditions (the “Terms”) govern your access to and use of the BUILDher Portal, including its mobile application, website features, workouts, educational resources, check-ins, messaging, community features, and related services (collectively, the “Portal”). The Portal is operated by BUILDher (referred to as “BUILDher,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Portal, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Portal.

2. Eligibility and Accounts

You must be at least the age of majority in your province, territory, state, or country of residence to use the Portal. If you access the Portal on behalf of another person or organization, you confirm that you have authority to accept these Terms for them.

You are responsible for providing accurate account information, keeping your login credentials confidential, and notifying us promptly of suspected unauthorized access. You may not share, transfer, or allow another person to use your account unless BUILDher gives written permission.

3. Portal Purpose; Coaching Agreements Control

The Portal is a digital delivery platform for BUILDher’s fitness coaching, programs, and community resources. It is not a substitute for medical care, diagnosis, or emergency services. Speak with a qualified health professional before beginning or changing an exercise, nutrition, or wellness plan, especially if you have a medical condition, injury, are pregnant or postpartum, or have concerns about your health.

Your enrollment in a BUILDher coaching program may be governed by a separate signed client agreement, waiver, or program-specific terms. If those documents conflict with these Terms on a program-specific issue, the signed or program-specific document controls to the extent of that conflict.

4. Acceptable Use

You may use the Portal only for your own personal use and in accordance with these Terms. You must not:

· use the Portal unlawfully, fraudulently, or in a way that interferes with another person’s use or safety;

· copy, reproduce, distribute, publish, share, or exploit Portal content except as expressly allowed in writing by BUILDher;

· record, screenshot for distribution, scrape, reverse engineer, decompile, attempt to bypass access controls, or introduce malicious code;

· impersonate another person, submit false information, or access another member’s account or information without authorization;

· post abusive, harassing, discriminatory, sexually explicit, defamatory, or otherwise inappropriate content in any community or messaging feature; or

· use the Portal to promote competing services, solicit members, send spam, or collect information about other users without permission.

5. Content, Intellectual Property, and Member Submissions

BUILDher and its licensors own the Portal and all related content, including workouts, plans, videos, graphics, text, branding, software, methods, and educational materials. Subject to your compliance with these Terms and any applicable program agreement, BUILDher grants you a limited, personal, non-exclusive, non-transferable, revocable right to access the Portal during your authorized access period. No ownership rights are transferred to you.

You retain ownership of content you submit to the Portal, such as check-in information, photos, comments, messages, or questionnaire responses (“Member Content”). You grant BUILDher a non-exclusive, worldwide licence to host, store, reproduce, display, and use Member Content only as reasonably necessary to operate, support, improve, and provide the Portal and your coaching services. This licence ends when your Member Content is deleted from our active systems, subject to lawful retention, backup, dispute, and record-keeping needs.

You are responsible for ensuring that you have the rights and permissions needed to submit Member Content. Do not upload another person’s personal information, image, or confidential material without their permission.

6. Community Standards

Community features are intended to be supportive and respectful. BUILDher may, but is not obligated to, monitor, remove, restrict, or report content or conduct that we reasonably believe violates these Terms, harms members, creates legal risk, or undermines a safe community. Community discussions are not private between individual members; use discretion and do not share information you would not want other authorized community members to see.

7. Portal Access and Program-Specific Terms

Access to the Portal is available only while your account is authorized by BUILDher under the applicable program-specific agreement. Your access may change or end when the relevant program concludes, your access period ends, or BUILDher reasonably determines that a restriction is necessary under these Terms or the applicable program-specific agreement.

These Terms do not replace the program-specific agreement or create additional program rights beyond those expressly set out in that agreement or required by law.

8. Third-Party Services and App Platforms

The Portal may work with third-party services, including mobile-device platforms, scheduling tools, analytics providers, communication tools, and connected fitness or coaching platforms. Your use of those services may also be governed by their terms and privacy policies. BUILDher is not responsible for third-party services, content, availability, or practices.

If you download the Portal through a mobile-device platform, that platform is not a party to these Terms and is not responsible for support, maintenance, claims, or the Portal’s content. Your use must comply with applicable platform rules.

9. Suspension and Termination

You may stop using the Portal at any time. BUILDher may suspend, restrict, or terminate access immediately where we reasonably believe you have violated these Terms, created a safety or security risk, engaged in harmful conduct, misused content, provided false information, or where required by law. Termination of Portal access does not automatically change the status of a separate coaching agreement.

10. Disclaimers and Limitation of Liability

The Portal is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, BUILDher does not promise that the Portal will always be uninterrupted, fully secure, or meet every individual need. Fitness, nutrition, and wellness outcomes vary and depend on many individual factors; BUILDher does not guarantee a specific outcome unless a separate written agreement expressly says otherwise.

To the fullest extent permitted by law, BUILDher will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data or loss of goodwill arising from use of or inability to use the Portal. Where liability cannot lawfully be excluded, BUILDher’s liability relating to the Portal will be limited to the fullest extent permitted by law.

11. Indemnity

To the fullest extent permitted by law, you will indemnify and hold harmless BUILDher and its owners, employees, contractors, and service providers from claims and liabilities arising from your misuse of the Portal, your breach of these Terms, or your violation of another person’s rights.

12. Changes to the Portal or Terms

We may update the Portal or these Terms from time to time. If we make a material change, we will provide reasonable notice through the Portal, by email, or by another appropriate method. The updated Terms take effect on the date stated. Your continued use after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Portal.

13. Governing Law and Contact

These Terms are governed by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law rules. Any proceeding must be brought in the courts located in that province or territory, unless applicable law requires otherwise.
